THE HIGHLANDS COUNTY HORSESHOE CLUB With a desire to promote the art of Horseshoe Pitching as a pleasant competitive sport, suitable for all persons; to insure it's continued growth, conduct League md Tournament play in the Sebring area, as well as lend support to the Florida Horseshoe Pitchers Association; we the members of the Highlands County Horseshoe Club do hereby establish the following Constitution and By-Laws. CONSTITUTION Article I (Name) The name of this organization shall be known as The Highlands County Horseshoe Club, hereinafter referred to as The Club. Article Il (Administration) I.) All Legislative power herein granted shall be vested in The Club members assembled in a lawful meeting. A Quorum shall consist of no less than one third (1/3) of the current Club Membership, who shall have authority to transact the business of The Club. 2.) The annual business meeting and election officers shall be held in March of each year. 3.) Special meetings may be called at any time by the President, a majority of the Club Membership, or a majority of the Club Officers. All members must be informed at least two (2) days in advance of the time, place and purpose of the special meeting. 4.) Voting shall be by Ballot or Rising Vote at the discretion of the Chairman. Voting by proxy or absentee Ballot shall not be permissible. 5.) A majority vote of members present in a lawful meeting shall be necessary and sufficient, except for changes in the Constitution, which shall require a two thirds (2/3) vote of those present. 6.) Roberts Rules of Order, reading as follows shall govern the conduct of all meetings: (1) Reading of minutes of previous meeting (2) Additions or Corrections of minutes - Approval (3) Reading of Financial Report (4) Reports of Officers (5) Reports of Committees (6) President's Report (7) Unfinished Business (8) New Business (9) Awards (10) Election and seating of Officers (ll) Adjournment 7.) The Officers of the Club shall consist of President, I st Vice President, 2nd Vice President, Secretary, Treasurer.. These Officers, plus the immediate Past President shall constitute the Executive Council of The Club. A majority of officers must be present at any Executive Council meeting to constitute a Quorum for conduct of business. The Tournament Director, League Director and Director of Facilities shall be appointed by the Executive Council and report thereto. 8.) The Executive Council of the Club shall be in charge of it's affairs and empowered to transact business in the best interest of the Sport and the Club, as they deem advisable, providing it is not contrary to the Constitution md/or By-Laws of The Club. 9.) The Officers shall be elected at the March annual meeting, each for a term of one (1) year, to commence at that time or as soon thereafter as possible. 10.) In the event of the Death, Resignation or Removal of an officer, the President, with the approval of the Executive Council, shall make appointments to fill the unexpired terms. Should the office of President become vacant, the V.P. shall become President and the 2nd V.P. shall become I st V.P. The new President shall then appoint a new 2nd V.P. to serve the unexpired term, with the approval of the Executive Council. 11.) Any Executive Council member maybe removed from office upon failure to perform the duties of the position, or for any reason or action that tends to discredit or reduce the efficiency of The Club. Said removal shall be accomplished only by unanimous vote of the Executive Council remaining Article Ill (Judiciary) 1.) The duties of the President shall be to preside at all meetings, to administer the Business of the Club and to handle whatever matters that may come to his attention in promoting the best interests of the Club. He may assign specific duties to other members of the Executive Council. All members of Council shall perform whatever duties their offices imply and be ready to cooperate with other members on any matter which may arise. All, working together, shall strive to encourage, promote and advance the game of Horseshoes, The Club, Harmony m*long Club members and fulfill duties assigned them by the President. 2.) The Secretary shall keep accurate minutes of all meetings, be custodian of all records (other that financial), correspondence and other documents belonging to the Club. 3.) The Treasurer shall be custodian of all funds of the Club and keep accurate records of expenditures, deposit all monies received by the Club in such Bank as by the Executive Council and make a complete report of monies received and paid out to the members at the Annual Meeting and at all other times required by the Executive Council. The Treasurer shall maintain a "Petty Cash" Fund in the amount of Fifty Dollars ($50.00) for expense reimbursements incurred by the Secretary, Tournament Director, League Director and Director of Facilities. All disbursements from said funds must be covered by a receipt for purchases. The Treasurer and two (2) additional officers shall have signature cards on file with the Bank of Choice, with one (1) signature required for withdrawal of funds. 4.) The Vice Presidents shall perform whatever duties them by the President and be prepared to assume the Presidency if and when necessary. 5.) Expenditure of funds, except routine court maintenance and operating supplies, must be approved by the Executive Council. Capital expenditures exceeding One Hundred Dollars ($ 100.00) must be approved by the membership. Article IV Any person may become a member of the Club upon payment of annual dues. The annual dues shall be determined by the members. This fee entitles one to membership for the Calendar year in which it is paid. (Example - Dues paid after January one of any calendar year become payable the following January to continue membership). However, New members joining the Club in November or December shall be paid thru December 31 of the following year. The fiscal year of the Club shall be January I thru December 31 of the same year. Article V The Club may adopt such By-Laws as deemed necessary. By-Laws shall be adopted when approved by a majority vote of the members present at any official Club Meeting. Approved by membership of Highlands County Horseshoe Club at the special meeting held on Date ___12-18-00____ The above Constitution supercedes any and all previously in use.
